CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT
K18 Hair, Inc. (“K18) and the individual receiving Confidential Information from K18 (“Recipient”) are entering into this agreement so that K18 can disclose certain Confidential Information (as defined below) to Recipient, while ensuring the Recipient uses the Confidential Information only for particular purposes, and also ensuring that Recipient does not otherwise disclose the Confidential Information. In exchange, Recipient gets access to the Confidential Information.
Recipient agrees that it will use Confidential Information only for the purpose of providing feedback to K18 (the “Purpose”).
For purposes of this agreement, “Confidential Information” refers to information about K18 products and their ingredients.
Recipient will use Confidential Information only for the Purpose. Recipient will not disclose the Confidential Information to any other person or organization, and will also take reasonable steps to preserve the confidentiality of the Confidential Information. Finally, if Recipient is legally required to disclose Confidential Information, Recipient may do so, but only after Recipient has given K18 a reasonable opportunity to intervene in the legal process requiring disclosure.
In order to reduce uncertainty, Recipient will seek clarification from K18 whenever Recipient is unsure if information disclosed by K18 to Recipient is part of Confidential Information.
Confidential Information is owned by K18, and nothing in this agreement changes that status.
The law that applies to this agreement is the law of the State of California, and all disputes that arise from or are related to this agreement will be resolved in the courts located in California.
This is the final agreement between K18 and Recipient with respect to the Confidential Information described in this agreement, and it can’t be changed unless both K18 and Recipient sign a modification. This agreement is effective on the date it is accepted by Recipient either by signature or otherwise evidencing Recipient’s acceptance of this Agreement through an online platform.
